About these terms
These terms cover two things: your use of onegrand.co.uk, and the work we do when you commission OneGrand ("we", "us") to design, build or maintain a website, run lead generation campaigns or provide our other services. By using the site or signing a proposal, you agree to them.
Where a signed proposal or statement of work says something different, the proposal wins. Nothing in these terms affects your statutory rights.
Proposals and pricing
Every project starts with a written, fixed-price proposal. The price covers the scope described in it and nothing else. Proposals are valid for 30 days.
Work that falls outside the agreed scope is quoted separately before we start it. We will never add to your bill without telling you first. All prices exclude VAT unless stated otherwise.
Payment
Launch and Growth projects are billed 50% on acceptance of the proposal and 50% on launch. Scale projects are billed in milestones set out in the proposal. Care plans are billed monthly in advance and can be cancelled with 30 days' notice.
Invoices are due within 14 days. We may pause work on overdue accounts and charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Your site will not go live until the balance is settled.
Lead generation services
Lead generation plans are billed monthly in advance as a management fee. Each plan covers managed ad spend up to a monthly ceiling: Starter up to £3,000, Growth up to £10,000 and Scale up to £25,000. In any month where ad spend goes above your plan's ceiling, the management fee for that month is 12% of that month's ad spend, or the plan fee if that is higher. Ad spend above £25,000 a month is quoted separately.
Ad spend is not included in the management fee. It is billed by Google, Meta, LinkedIn or any other platform directly to your payment method, and we do not mark it up. Lead generation plans have a 3-month minimum term, after which they roll monthly and either side can end them with 30 days' written notice.
A qualified lead is a unique person or business (not a duplicate of a lead received in the previous 60 days), with a working phone number or email address, inside the service area and asking about a service on the list agreed in your onboarding plan, that arrives through a form, call or booking tracked by OneGrand, and that has consented to be contacted. We run spam and bot filtering on all forms.
You may reject a lead within 5 working days of receiving it by sending us evidence from your CRM or call records. "No answer", "not interested" and "too expensive" are not grounds for rejection. Accepted rejections are credited against your lead target and are not refunded as money.
If, by the end of month 3, we haven't delivered the agreed number of qualified leads at or below the target cost per lead in your onboarding plan, and the agreed ad spend ran throughout, your month-4 management fee is free, or you can end the plan without notice. The guarantee does not apply if ad spend was paused or reduced below the agreed level, or if the agreed targets were changed at your request without being re-set in writing.
You own your Google Ads, Meta, LinkedIn, analytics and CRM accounts from the start, and give us manager access to run them. Landing pages we build for your campaigns transfer to you once the invoices covering them are paid. When a plan ends we remove our access on request.
You are responsible for:
- Using the leads we deliver lawfully, including complying with data protection and electronic marketing law when you contact them.
- Giving us accurate, up-to-date information about your service area and the services you offer, and telling us promptly when either changes.
- Responding to leads promptly, and making sure your offer, prices and claims in our campaigns are accurate.
Your responsibilities
A fixed timeline only works if both sides keep to it. You agree to:
- Provide content, feedback and approvals within the timeframes agreed in the proposal.
- Make sure you have the right to use any text, images, logos or other material you supply to us.
- Nominate one person with authority to approve work and make decisions.
If delays on your side push the project beyond its scheduled end date by more than 30 days, we may invoice the remaining balance and schedule the outstanding work when you are ready.
Revisions and approval
Each proposal includes a set number of revision rounds per stage, typically two. A revision round is a consolidated set of comments, not an open-ended conversation. Further rounds are available at our standard day rate.
Once you approve a stage in writing, it is final. Changes after approval are treated as new work and quoted accordingly.
Intellectual property
On receipt of final payment, you own the finished website: the design, the content we wrote for you and the custom code we built. Until then, we retain all rights.
We keep ownership of our underlying tools, libraries, components and know-how, and grant you a perpetual licence to use them as part of your site. Third-party assets such as fonts, stock imagery and plugins are licensed under their own terms, which we will tell you about.
We may show the finished work in our portfolio and on social media unless you ask us not to in writing before launch.
Warranties and liability
We will build your site with reasonable skill and care, test it across current versions of major browsers, and fix any defects you report within 30 days of launch at no charge.
Beyond that, the site is provided as is. We cannot guarantee particular search rankings, traffic or sales. To the extent permitted by law, our total liability under any project is limited to the fees you have paid us for it, and we are not liable for indirect or consequential loss such as lost profits or data.
Ending a project and governing law
Either side can end a project with 14 days' written notice. You pay for work completed up to that date and we hand over everything you have paid for. Deposits are non-refundable once design work has started.
These terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction. If a dispute comes up, we will try to sort it out by talking first.
